<p>The person must have experience in each of these functions within Stock Plan Administration and Management.</p>

<p>The Equity Plans Manager position must have knowledge and experience in the following:</p>

<p><strong>Role Overview</strong><br />
Electronic Arts Inc is seeking an experienced Senior Stock Administrator to work with an exciting equity team to administer our worldwide company stock plans and to liaise with our employees, transfer agent and internal groups, such as Human Resources, Accounting, Global Audit and Tax.<br />
Responsible for the administration of Equity Incentive Plans for U.S. and International participants in over 30 countries worldwide which includes:<br />
- Process monthly stock option and RSU grants<br />
- Process stock option exercises<br />
- Process semi-annual stock purchases<br />
- Section 16 SEC Compliance/Reporting (process forms 3, 4 and 5)<br />
- Provide reports regularly and as requested to internal and external auditors, tax, payroll, finance/accounting, HR and other business partners<br />
- Prepare annual reports for UK filings and other regular international finance reporting requirements.<br />
- Maintain integrity of data in Equity Edge Database<br />
- Employee Communication and Education including presentations, addressing employee inquiries, creating training/educational materials and maintaining the internal Stock Administration Portal<br />
- Work closely with brokers and vendors to ensure quality stock plan services.<br />
- Manage data internally, including inbound and outbound feeds to vendor systems and internal employee self-service tools (i.e. online grant acceptance and ESPP enrollment tools).<br />
- Cross Train with other team members in all aspects of daily stock administration including Monthly RSU Releases, Global Mobility Tracking, YTD tax imports, ESPP disposition updates, financial reporting.</p>
<p>Whats does EA look for?</p>
<p>- 4+ years comprehensive experience in equity incentive plan administration with U.S. and international participants.<br />
- BA / BS in Accounting, Finance or Business preferred<br />
- CEP Certification preferred or in the process of completion.<br />
- Demonstrated proficiency in day-to-day administration of Equity Incentive Stock plans and Employee Stock Purchase plans. Includes processing option exercises, grant preparation, interface with captive brokers, payroll and finance.<br />
- Demonstrated customer service and organizational skills and the ability to multi task.<br />
- Demonstrated research, troubleshooting, analytical and problem solving skills<br />
- Capacity to be a flexible &amp; collaborative team member, while staying focused to deliver results.<br />

<li>Familiarity with Rule 701 and 144</li>
<li>Proficient in equity administration applications, particularly Equity Edge and EquiView</li>
<li>Proficient with Microsoft Office applications - especially Excel and Word</li>
<li>Familiarity with SEC regulations, taxation, payroll, and accounting rules as they relate to stock programs in the U.S.</li>
<li>General familiarity with requirements/constraints for stock programs in countries outside of the U.S. (labor or data privacy laws, foreign exchange controls, transactional restrictions, etc.)</li>
<li>Experience with Sarbanes-Oxley audit controls</li>
<li>An understanding of and adherence to confidentiality</li>

<p><strong>(1)        Position Title:  Manager, Equity Plans for Outsourcing Teams</strong></p>
<p>The person must have superior knowledge of all aspects of the laws and regulations of Equity<br />
Compensation for a global company. This includes Equity Compensation securities laws, tax laws, the<br />
financial reporting requirements for equity and related accounts, and advanced knowledge of the<br />
accounting regulations in order to properly manage and perform the basic and advanced responsibilities<br />
surrounding a company&#8217;s equity plans.</p>
<p>The person must have experience in each of these functions within Stock Plan Administration and<br />
Management.</p>
<p>WE WILL TRAIN! We will consider candidates who have knowledge but may not have full experience in<br />
all areas. We are open to training the right candidate.</p>
<p>The Equity Plans Manager position must have knowledge and experience in the following:</p>
<ul>
<li>Public and private company stock plans management</li>
<li>Administration on the complete cycle for five types of equity awards administration: Options, RSAs, RSUs, SARs, PSAwards/Units</li>
<li>Employee Stock Purchase Plans administration and management ASC 718 fair valuation process: analysis for public and private companies, determination of factors, assumptions, report expense allocation, reconciliations, knowledge of quirks in software that require off-line activity</li>
<li>Manage global considerations and mobility participants&#8217; worldwide tracking</li>
<li>Set up and maintain best practices and latest technology</li>
<li>Maintain a Capitalization Table (for private company)</li>
<li>Reconciliations for common stock, treasury, reserves, equity and related g/l accounts</li>
<li>Transfer agent, brokerage, and service provider liaison</li>
<li>Employee communications and presentations</li>
<li>Knowledge of two or more software applications (EASi, Equity Edge, CapMx, Equity Focus, Transcentive)</li>
</ul>
<p>Job requirements for Equity Plans Manager:</p>
<ul>
<li>8+ years experience in corporate stock plan administration and management</li>
<li>Must be organized and efficient</li>
<li>Enjoys multi-tasking</li>
<li>Calm personality</li>
<li>Communication skills with all levels of corporate management and Directors</li>
<li>Must have excellent English written and oral communication skills</li>
<li>Certified Equity Professional (CEP) designation required or in progress</li>
<li>Must have a bachelor&#8217;s degree or equivalent experience</li>
<li>Proficiency in Excel and Word; Access and PPT experience preferred</li>

<p>The person must have superior knowledge of all aspects of the laws and regulations of Equity<br />
Compensation for a global company. This includes Equity Compensation securities laws, tax laws, the<br />
financial reporting requirements for equity and related accounts, and advanced knowledge of the new<br />
accounting regulations in order to properly manage and perform the basic and advanced responsibilities<br />
surrounding our company&#8217;s equity plans.</p>
<p>WE WILL TRAIN! An opportunity for the right candidate to move to another level of your career. We will<br />
consider candidates who have knowledge but may not have full experience in all areas.</p>
<p>The Sr. Equity Consultant responsibilities include the full scope of Sr. Equity Plans Manager and not<br />
limited to (see Equity Plans Mgr position):</p>
<ul>
<li>Public and private company stock plans administration and management</li>
<li>Knowledge of two or more software applications (EASi, Equity Edge, CapMx, Equity Focus, Transcentive)</li>
</ul>
<p>The Sr. Equity Consultant position must have experience in equity comp projects:</p>
<ul>
<li>IPO transition</li>
<li>Pre-IPO and private company administration</li>
<li>Financial analysis for equity compensation - overhang, ratios, expense forecasting</li>
<li>External reporting: 10-Q, 10-K, financial footnotes, Proxy Statement</li>
<li>Activity for mergers / acquisitions / liquidations</li>
<li>Stock database conversions</li>
<li>Stock splits and recapitalizations</li>
<li>Reconciliations</li>
<li>Analysis of equity data for 409A issues</li>
<li>Write or edit the Sarbanes-Oxley documentation for the Equity Plans corporate function</li>
<li>Transition from one vendor/agent to another: Transfer Agent, Stock Broker, Out-Sourcing Vendor, Escrow Agent, Legal Counsel</li>
<li>Perform project work and equity consulting tasks anticipating the needs of the client&#8217;s executive team, management team and the employee base</li>
</ul>
<p>Job requirements for Sr. Equity Consultant:</p>
<ul>
<li>8+ years experience in corporate stock plan administration and management</li>
<li>Management experience</li>
<li>Consulting experience</li>
<li>Finance or accounting background, education, or experience is preferred</li>
<li>Take-charge person that can handle a variety of tasks and responsibilities</li>
<li>Must be organized and efficient</li>
<li>Enjoys multi-tasking</li>
<li>Writing skills for citing regulations and writing narratives for work processes</li>
<li>Must have excellent English written and oral communication skills</li>
<li>Certified Equity Professional (CEP) designation required</li>
<li>Must have a bachelor&#8217;s degree or equivalent experience</li>
<li>Proficiency in Excel and Word</li>
</ul>

<p>We are looking for a recent graduate with a major in Accounting, Economics, or Business Administration or a corporate professional with one+ years in accounting or payroll.</p>
<p>We will train the right candidates for a new career in Stock Plan Administration.</p>
<p>The candidate must have general knowledge in one or more of the following areas:</p>
<ul>
<li>Accounting / bookkeeping</li>
<li> Payroll</li>
<li> A corporation and its business operations</li>
<li> Knowledge of employee benefits</li>
